Composition and administration

1.  The Permanent Committee of the Board of Directors is composed of:

2.  The Chief Executive Officer is in charge of the administration of the Permanent
     Committee.

Authority
1.  Between meetings of the Board of Directors, the Permanent Committee is
     authorised to take and execute final decisions on urgent matters that fall under
     the authority of the Board of Directors.

2.  The Permanent Committee may take decisions in meetings or, if none of its 
     members calls for a meeting, by conference call or correspondence.

3.  The Permanent Committee may also assist with the preparation of business to be
     dealt with by the Board of Directors.

Notice and chairman

1.  The EPFL Chairman calls meetings of the Permanent Committee by phone,
     email or fax.

2.  The EPFL Chairman chairs the meetings of the Permanent Committee.
